BUSINESS FORMATION
I help clients when they need to form a business, whether a limited liability company (LLC), a corporation, a partnership or another type of business entity. These services include the preparation of LLC operating agreements, shareholder agreements, partnership agreements and a wide variety of other types of agreements.
BUSINESS ADVICE / GENERAL COUNSEL
I provide general advice and counsel to businesses on day-to-day legal issues, on matters such as employment and contracts. In essence, I serve as outside general counsel to businesses and receive the first phone call from managers and owners on a wide variety of matters. My clients include new and established businesses, small and medium sized businesses, high tech and low tech businesses, in a wide variety of industries.
MERGERS AND ACQUISITIONS / BUYING OR SELLING BUSINESSES
I represent buyers and sellers of businesses in a variety of transactions, such as buying shares of stock or other equity ownership, buying assets, and mergers. I am involved in all aspects of mergers and acquisitions, from the non-disclosure agreement and the letter of intent to legal due diligence to the purchase agreement to post-closing issues.
CONTRACT PREPARATION AND REVIEW
I prepare, review and negotiate many different types of contracts, agreements and other documents used by businesses; for example, employment agreements, manufacturing and supply agreements, distribution agreements, trademark license agreements, and warranties and other terms and conditions concerning sales of goods and services.
EMPLOYMENT
I provide general advice and legal counsel to management and ownership on a variety of legal issues that arise on a daily basis with employees. I also represent executives, consultants and key employees. I prepare employment agreements, consulting agreements, employee manuals, releases and severance agreements. I ensure that the confidential and propriety information of a business is protected with non-competition, non-solicitation and non-disclosure provisions.
LENDING / BORROWING
I represent lenders and borrowers on commercial mortgage loans, term loans, commercial lines of credit and other types of loans.
COMMERCIAL REAL ESTATE AND LEASING
I represent buyers and sellers of commercial real estate and landlords and tenants on commercial leases.
